Terms of Use

1. Scope

These Terms apply to browsing the website operated by SHINSEISOFT Co., Ltd. (the "Company"), requesting materials, making inquiries, and using enterprise software design and development, implementation support, operation support, VPN and encrypted communication services, LINKITVPN, AI automation related services, and other Company services.

If an individual contract, quotation, order form, service-specific terms, or other separate provisions exist, those provisions take precedence over these Terms.

2. Definitions

• "Site" means the website operated by the Company.
• "Services" means development, implementation support, operation support, VPN and encrypted communication, LINKITVPN, AI automation, and other related services provided by the Company.
• "LINKITVPN" means the VPN and encrypted communication service brand owned and developed by the Company.

3. Use of the Site

Users shall use the Site in accordance with laws, public order and morals, and these Terms. Users shall not enter false information, conduct unauthorized access, place excessive load on the Site, infringe third-party rights, or engage in any other inappropriate conduct.

4. Service Content and Individual Contracts

Information on the Site presents an overview of the Company's services and does not cover all service conditions. Specific specifications, deliverables, delivery dates, fees, responsibility allocation, support scope, and related conditions are determined by individual contracts, quotations, order forms, service-specific terms, or similar documents.

5. LINKITVPN and Online Services

LINKITVPN is a VPN and encrypted communication service owned and developed by the Company. Specific functions, delivery methods, usage restrictions, support scope, availability, maintenance, contract conditions, and related matters for LINKITVPN may be set separately in service-specific descriptions, terms, or contract conditions.

6. Account and ID Management

When the Company issues accounts, IDs, passwords, or similar credentials, users shall manage them appropriately at their own responsibility and shall not allow third parties to use them. The Company is not liable for damage caused by insufficient user management unless attributable to the Company.

7. Fees, Payment, Renewal, and Cancellation

Fees, payment methods, billing start dates, automatic renewal, cancellation methods, cancellation deadlines, refund availability, and related conditions for the Services shall follow individual contracts, quotations, order forms, service-specific terms, or other conditions separately presented by the Company.

8. Prohibited Conduct

• Acts that violate laws, public order, or morals
• Unauthorized access, vulnerability probing, or excessive load
• Acts that infringe third-party rights, interests, reputation, or privacy
• Entering false information or using the Services for improper purposes
• Using VPN or encrypted communication services for illegal communication, attacks, harassment, or other inappropriate purposes
• Using AI functions to generate illegal or inappropriate content, entering confidential information without authority, automated attacks, or other inappropriate use
• Acts related to anti-social forces

9. Intellectual Property Rights

Copyrights, trademarks, know-how, and all other intellectual property rights related to the Site and the Services belong to the Company or third parties with legitimate rights. Users may not use these rights without prior consent from the Company, except where permitted by law.

10. Notes on AI Functions, Generated Outputs, and Automation Functions

The Company does not guarantee the accuracy, completeness, or fitness for a particular purpose of AI functions, automation functions, or results generated by them. Users shall verify generated results before use and shall ensure that they have lawful rights to use input data and do not input unnecessary confidential information or specially protected information.

11. Disclaimer and No Warranty

To the extent permitted by law, the Company does not warrant continuity, accuracy, completeness, fitness for a particular purpose, usefulness, security, or related qualities of the Site or the Services. This does not apply in cases of intentional misconduct or gross negligence by the Company.

12. Scope of Liability for Damages

The Company is liable, to the extent permitted by law, for damage suffered by users arising from or related to use of the Site or the Services. Except in cases of intentional misconduct or gross negligence by the Company, the Company is not liable for special damages, indirect damages, or lost profits. If an individual contract sets a liability cap, that provision takes precedence.

13. Changes to the Terms

The Company may revise these Terms as necessary in response to legal changes, changes in service content, or other circumstances. Revised Terms will be announced on the Site and, where necessary, notified by email or other reasonable method, and will apply from the effective date determined by the Company.

14. Exclusion of Anti-Social Forces

Users represent and warrant that neither they nor their related parties are anti-social forces and that they will not use anti-social forces.

15. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with Japanese law. If a dispute arises in relation to these Terms or the Site, the Osaka District Court shall be the exclusive agreed court of first instance, unless otherwise provided by law.
